 2013 ANNUAL MEETING - 2nd NOTICE

Dear Pembrook Woods Homeowner(s),

In Accordance with Article IV of the By-Laws of the Pembrook Woods Homeowners Association, Inc., the 2013 Annual Meeting will be held Thursday, September 26th, 2013, at the Emmitsburg Public Library, starting at 5:30 pm and to conclude at 7:30 pm.

The purpose of the Annual Meeting is to review the past year's operations, discuss the goals and objectives of the Board, discuss the 2014 Proposed Budget, and elect Three (3) members to the Board of Directors.

There are currently Six (6) Members serving on the Board of Directors. Those members consist of Ed Brogden, Sandra Isaacson, Jenny Joy, John Marsh, Kendall Moore, and Mike Hoffman. There are Three (3) Board position(s) available this election. The elected member will serve a three (3) year term.

This mailing includes the Agenda, Proxy, 2014 Revised Proposed Budget, Ballot, Candidate Summary, and 2012 Annual Meeting Minutes. It is important for all owners of record of good standing to return the proxy so that quorum is achieved. Without quorum the Annual Meeting cannot be held. To reach quorum we need 18 owners of lots (25% of 70 lots), present in person or by proxy. The By-Laws,Article IV, Section 4.6 states: “The presence, either in person or by proxy, of members entitled to cast twenty five percent (25%) of the votes of each class of the membership, shall be requisite for, and shall constitute a quorum for the transaction of business at all meetings of Members, except as is otherwise provided in the Articles of Incorporation, the Declaration or the By-Laws.”

If quorum is not achieved, the procedure authorized by Article IV., Section 4.6 and 4.7 of the By-Laws shall be invoked: “If any meeting of members cannot be organized because a quorum has not attended, the members who are present, either in person or by proxy, may adjourn and reconvene the meeting in accordance with the provisions and requirements of Section 5-206 of the Corporations and Associations Article, Annotated Code of Maryland (1993 Repl. Vol.), as from time to time amended.” “The members present thereat shall have the power to adjourn the meeting from time to time and call an additional meeting giving at least fifteen (15) days - notice. At the additional meeting, the members present in person or by proxy shall constitute a quorum.” Please return your proxy so that quorum is achieved.
